Jabstract Web Design Contractor Confidentiality, Non-Solicitation, and IP Ownership
Parties
This Agreement is between Jabstract Web Design (“Company”) and the individual submitting this form (“Contractor”).
Purpose
Contractor may receive access to Company and client information to support services such as assistant work, SEO tasks, web design, content production, client communication support, and handling Company or client credentials.
1. Confidentiality
1.1 Confidential Information
“Confidential Information” means any non public information relating to Company or its clients, including client and lead information, pricing, proposals, SOPs, templates, checklists, processes, project notes, audits, reports, keyword research, SEO strategies, backlink and outreach plans, vendor lists, account data, analytics, ad account structure, design files, drafts, source files, code, hosting and DNS details, and all credentials such as passwords, API keys, admin access, and recovery codes.
1.2 Use Restrictions
Contractor will use Confidential Information only to perform work for Company and for no other purpose.
1.3 Non Disclosure
Contractor will not disclose Confidential Information to any third party without Company’s prior written permission.
1.4 Security and Credentials
Contractor will protect Confidential Information using reasonable security measures. Contractor will not store credentials in plain text, screenshots, or unsecured notes. Contractor will not share credentials with anyone. Contractor will promptly notify Company if credentials are lost, exposed, or suspected to be compromised.
1.5 Exceptions
Confidential Information does not include information Contractor can prove is publicly available through no fault of Contractor, was lawfully known to Contractor before disclosure, or was independently developed without use of Confidential Information.
1.6 Return and Deletion
Upon request or when the engagement ends, Contractor will promptly return or permanently delete Company and client materials, including any copies or exports, and will cooperate with access removal.
1.7 Term
Confidentiality obligations apply during the engagement and for three (3) years after it ends. Trade secrets, if any, remain protected as long as they remain trade secrets under applicable law.
2. Non Solicitation
2.1 Clients and Leads
During the engagement and for twenty four (24) months after it ends, Contractor will not directly or indirectly solicit, divert, or attempt to solicit any Company client or lead that Contractor worked on, communicated with, or learned about through Company for services that compete with the services Company provides.
2.2 Personnel
During the engagement and for twenty four (24) months after it ends, Contractor will not recruit, solicit, or induce any Company employee or contractor to leave Company or reduce their relationship with Company.
2.3 No Circumvention
Contractor will not use Company relationships, Confidential Information, or access obtained through Company to bypass Company and work directly with Company clients for competing services.
3. Intellectual Property Ownership
3.1 Work Product
“Work Product” means anything Contractor creates, writes, designs, develops, edits, or delivers in connection with Company work, including designs, mockups, graphics, copy, blog posts, SEO research, strategies, audits, reports, citations work, outreach logs, documentation, SOP improvements, prompts, schemas, scripts, code, and all drafts and revisions.
3.2 Assignment
Contractor irrevocably assigns to Company all right, title, and interest in all Work Product, including all intellectual property rights, to the fullest extent permitted by law, upon creation.
3.3 Pre Existing and Third Party Materials
If Contractor includes any pre existing materials or third party assets in Work Product, Contractor will disclose this to Company and ensure Company has the right to use those materials as delivered. Contractor will not include unlicensed content.
3.4 Further Assurances
Contractor will sign reasonable documents needed to confirm or perfect Company ownership of Work Product.
4. General
4.1 Independent Contractor
Contractor is a 1099 independent contractor and not an employee, partner, or agent of Company.
4.2 Remedies
Contractor acknowledges a breach may cause harm that cannot be fully repaired by money alone, and Company may seek injunctive relief and other remedies.
4.3 Governing Law
Florida law governs this Agreement.
